汤姆·桑德斯是西雅图先进教码联合公司制造部门的总管。 他被同事们认为是接任公司副总裁的最佳人选。然而他不但未能如愿，还面临着重大的危机。新任副总裁玛丽不仅与总裁加文关系密切，还是汤姆的旧日女友。对汤姆来说这实在是十分倒霉的一天。下班后，玛丽以商谈工作为名把汤姆叫到了办公室， 并对他进行百般挑逗。清醒过来的汤姆拒绝了玛丽。但在第二天， 玛丽就在工作上对汤姆进行了刁难， 就驱动盘的质量问题对汤姆进行指责，还向公司控告汤姆对她进行了性骚扰。汤姆陷入了困境之中。他向着名的女律师凯瑟琳寻求帮助。凯瑟琳告诉汤姆，在性骚扰中关键在于权力而不是性，并建议汤姆要慎重处理此事。 但对汤姆有利的是，如果丑闻公开，合并就极有可能失败，总裁加文会因此受到十亿美元的损失，因而公司不会扩大此事的事态。但在此同时，公司也对汤姆实施了压力。
玛丽的行为给汤姆造成了不小的麻烦。好友和同事们怀疑他、批评他，妻子也表现出了她的愤怒。无辜的汤姆百口莫辩。 幸而有个不知名的人物多次通过电子邮件表示了对汤姆的理解，使他感到了一丝安慰。在法庭的调解会上，玛丽一口咬定是汤姆对她进行了性骚扰，凯瑟琳则针锋相对则针锋相对地进行了反驳。汤姆意外地发现事发时他忘了关掉手提电话， 在一位朋友的电话录音中已经记录记录了事件的全过程。这使汤姆处在了十分有利的位置。汤姆终于和公司达成了令他满意的协议。但在一个偶然的机会中，汤姆意外地发现了公司总裁指使玛丽为难汤姆的内幕。玛丽将在第二天的合并会议上就驱动器存在的问题向汤姆发难，同时还要删去电脑中的所有相关资料以打击汤姆，汤姆这才明白，一切都是总裁为了排挤他而设的阴谋。公司取消了汤姆使用电脑资料的权利。 汤姆急中生智，利用一套样品电脑进入了公司的资料库，并意外地发现了玛丽修改了生产线导致产品质量达不到要求的证据。在第二天的合并会议上，汤姆对玛丽进行了反击，迫使总裁加文撤除了玛丽的职务。
这一场较量以汤姆的胜利而告终。 但新的副总裁又是一位女性。在公司大会上，汤姆意外地发现，再三给他传来电子邮件和提示的正是新任女副总裁的儿子。事实上，汤姆不自觉地成了权力斗争中的一颗棋子。突然间，一种不祥的预感又掠过他的心头。
