湯姆·桑德斯是西雅圖先進教碼聯合公司製造部門的總管。 他被同事們認為是接任公司副總裁的最佳人選。然而他不但未能如願，還面臨著重大的危機。新任副總裁瑪麗不僅與總裁加文關系密切，還是湯姆的舊日女友。對湯姆來說這實在是十分倒霉的一天。下班後，瑪麗以商談工作為名把湯姆叫到了辦公室， 並對他進行百般挑逗。清醒過來的湯姆拒絕了瑪麗。但在第二天， 瑪麗就在工作上對湯姆進行了刁難， 就驅動盤的質量問題對湯姆進行指責，還向公司控告湯姆對她進行了性騷擾。湯姆陷入了困境之中。他向著名的女律師凱瑟琳尋求幫助。凱瑟琳告訴湯姆，在性騷擾中關鍵在於權力而不是性，並建議湯姆要慎重處理此事。 但對湯姆有利的是，如果丑聞公開，合並就極有可能失敗，總裁加文會因此受到十億美元的損失，因而公司不會擴大此事的事態。但在此同時，公司也對湯姆實施了壓力。
瑪麗的行為給湯姆造成了不小的麻煩。好友和同事們懷疑他、批評他，妻子也表現出了她的憤怒。無辜的湯姆百口莫辯。 幸而有個不知名的人物多次通過電子郵件表示了對湯姆的理解，使他感到了一絲安慰。在法庭的調解會上，瑪麗一口咬定是湯姆對她進行了性騷擾，凱瑟琳則針鋒相對則針鋒相對地進行了反駁。湯姆意外地發現事發時他忘了關掉手提電話， 在一位朋友的電話錄音中已經記錄記錄了事件的全過程。這使湯姆處在了十分有利的位置。湯姆終於和公司達成了令他滿意的協議。但在一個偶然的機會中，湯姆意外地發現了公司總裁指使瑪麗為難湯姆的內幕。瑪麗將在第二天的合並會議上就驅動器存在的問題向湯姆發難，同時還要刪去電腦中的所有相關資料以打擊湯姆，湯姆這才明白，一切都是總裁為了排擠他而設的陰謀。公司取消了湯姆使用電腦資料的權利。 湯姆急中生智，利用一套樣品電腦進入了公司的資料庫，並意外地發現了瑪麗修改了生產線導致產品質量達不到要求的證據。在第二天的合並會議上，湯姆對瑪麗進行了反擊，迫使總裁加文撤除了瑪麗的職務。
這一場較量以湯姆的勝利而告終。 但新的副總裁又是一位女性。在公司大會上，湯姆意外地發現，再三給他傳來電子郵件和提示的正是新任女副總裁的兒子。事實上，湯姆不自覺地成了權力斗爭中的一顆棋子。突然間，一種不祥的預感又掠過他的心頭。
